Investment & Private Equity

 

The firm frequently advises on straightforward registrations, contractual matters and uncomplicated ventures. It also advises and acts on complex investment projects, mergers & acquisitions and corporate restructurings. Work covers both industry sectors and service sectors. The firm aims to work imaginatively and constructively to ensure that clients' commercial objectives are met within the relevant legal context. It believes that its commitment to the clients does not stop at the conclusion of a transaction - we regularly advise clients on post-investment operations.

 

We advise and act in Joint Venture matters. Our work includes reviewing JV and operating arrangements; advising on the consents governing the granting; advising on behalf of banks; and negotiating on suitable funding arrangements. We have extensive experience of advising on the creation of joint ventures and strategic alliances. Over the years the firm has advised on a range of global joint ventures in fast developing sectors. We also advise on smaller joint ventures usually as start-up enterprises.

 

Lease Finance:

Doulah & Doulah has so far completed four lease finance transactions for GE Capital with private entities and one transaction with Government entity. In addition it has participated three different lease finance transactions each for AWAS, Aircastle and International Lease Finance Corporation. Recently it has also completed a wet lease transaction for Air Atlanta.

 

Private Equity & Corporate Finance:

The firm offers market leading services in Private Equity and corporate financing.  Recently it has completed private equity investments towards relevant corporate finance for PEB Steel Asia Ltd.  in PEB Steel Alliance Ltd., for Aqeeq Aviation in Best Air Aviation Ltd., for Nokia Investments in Nokia Bangladesh. Other equity investment clients include Maxim, Baleno Readymade Garments, Tantia Group etc. The firm has also been working for capital rising for Tania group through preferred shares and bonds in Bangladesh.

 

In addition the firm assisted incorporating and structuring of SPVs with respect to Chittagong Port - New Mooring Container Terminal, Cox’s Bazaar Airport Modernization, Chittagong Urea Fertilizer Limited, Sylhet Pulp & Paper Mills, BCIC Jute Mills Project, Jamuna Multipurpose Bridge, Jamuna Fertilizer Ltd., BDC-NCE Consortium-Road Rehabilitation and Maintenance Project, Ashuganj 150MW Combined Cycle Power Plant, Shikalbaha  200MW Combined Cycle (Duel Fuel)  Power Plant, Uttara Apartments, Mirpur Apartments, Hyatt Regency International Hotel  etc. projects

  

Funds:

The firm acted for USAID in formation of Tropical Forest Conservation fund. Besides it has recently incorporated a pension fund for Chidren’s Place. Mutual fund clients include Morgan Stanley, Credit Suisse Trust.

 

 

           


 
 

Debt Finance:

Doulah & Doulah is the leading firm in finance sector with large experience in debt financing. In this pursuit it has worked in a large number of transactions acting for clients like Morgan Staneley (in Oras Investment), Standard Chartered Bank (In Sheba Telecom), Calyon Bank (In Aktel ), Syndicated financing in Grameenphone, Al Aqeeq Group (in Best Air Aviation), Maxim Group (in Maxim Bangladesh) etc.

 

Capital Market:

Doulah & Doulah is one of the few firms in Bangladesh to have expertise in capital market regulations and allied laws. The firm maintains a big portfolio of clients in this respect.

 

Supplier Credit:

Doulah & Doulah has significant experience in supplier credit arrangements and has been acting for clients like Alcatel Lucent, Liberty Commodities etc.
